The book deals with Finnish national corporate forms to conduct business and legal issues related to formation, activities and specific reconstructions of business undertakings. The book begins with a rather comprehensive survey of the Finnish contract law, which forms a background to a more or less contractual reasoning behind regulation of different forms of business corporations (a partnership, a limited partnership, a company limited by shares and a cooperative society). The book contains a comprehensive analysis of the general conditions to carry on business in Finland, formation of a corporation, rights, duties and liabilities of the owners and managers of a corporation, and selected manners of reconstruction of business.
