Tiivistelmä

Does freedom of establishment in EU law provide a right for existing companies to change their governing law at will? The thesis concludes that EU law indeed protects such a right, however restrictions on the right can be justified under Union law. Nevertheless, practical constraints on the use of that right arise from the absence of rules in secondary EU law. In reality, the legal uncertainty surrounding the issue may be so great as to effectively preclude all application of the right of establishment as far as direct intra-Union cross-border conversions are concerned. An emerging, more coherent legal framework on international company conversions would, in and of itself, enhance the competitiveness of the Union and thus respond to the demands of economic operators in the internal market.
