Tiivistelmä

Indemnity conditions derive from the Anglo-Saxon legal culture but have found their way into contracts also in other jurisdictions, such as Finland. However, contracts are always interpreted in the context of some national legislation. The applicable legislation is selected as a consequence of a choice of law clause included in the contract or deriving from the principles of private international law. In any case, attention should be paid on the contract law of the relevant national jurisdictions, when drafting contracts. Importing concepts from a foreign legal system might result in unpleasant or at least surprising conclusions, should a dispute arise between the parties, bearing in mind that contracts are often negotiated by lay businessmen and not qualified lawyers specialized in comparative contract law.
