Tiivistelmä

One of the most central questions in the area of Tort Law regards how negative effects of a caused harm are divided between the involved parties. Concerning contractual liability, this question is of special interest since the parties may, through a contract allocate the liability, with certain exceptions, as they choose. A limitation of liability clause is not unusual in modern business-to-business contracts. In certain situations, the otherwise valid clause may lose its presumed effectivity. In this article, it will be discussed the circumstances under which an express limitation of liability clause may lose its effectivity due to a party’s gross negligence as well as how the factors involved shall be assessed in the area of sale of goods.
